Terms of Services
1. Scope of Services
Andes Construction Machinery Co., Ltd. ("Andes", "we", "our") provides remanufactured heavy construction equipment, including excavators, wheel loaders, bulldozers and motor graders, together with optional customization, after-sales technical support, spare parts supply and international logistics services. These Terms of Service govern all sales quotations, proforma invoices and purchase orders between Andes and the Buyer ("you", "your").
By accepting our quotation, placing an order or arranging any payment, you confirm that you have read, understood and agreed to be bound by these Terms, together with the signed proforma invoice and any annexed technical specifications.
2. Ordering, Payment and Delivery
2.1 Order Confirmation. Your order is deemed confirmed only after Andes issues a signed proforma invoice (PI) referencing model, tier, customization list, unit price, total amount, Incoterm and port of loading. Verbal or non-signed commitments are not binding.
2.2 Payment Terms. Unless otherwise agreed in writing: (a) 30% deposit by Telegraphic Transfer (T/T) within 5 calendar days of PI date to secure production slot; (b) 70% balance payable before shipment, by T/T or Irrevocable Letter of Credit at Sight (L/C at sight) issued by a top-500 global bank. Partial installment terms are offered for returning registered clients only.
2.3 Delivery Lead Time. Standard Tier units are typically ready for shipment within 10–15 calendar days after deposit confirmation; Platinum Tier units are typically ready within 20–30 calendar days due to premium tier disassembly, bench testing and multi-layer paint process. Rush orders may be prioritized at our discretion.
2.4 Shipment & Risk Transfer. Unless otherwise specified in the PI, we offer FOB / CIF / DDP terms through major Chinese container or Ro-Ro ports. Risk of loss or damage transfers from Andes to you at the point defined by the applicable Incoterm. We are not responsible for port congestion, carrier schedule delays or customs clearance in the destination country beyond the scope of agreed DDP services.
3. Tier Definitions, Warranty & Refund Policy
3.1 Remanufacturing Tiers. Standard Tier: covers core running gear replacement, working gear refurbishment, hydraulic/engine maintenance, 1-layer anti-corrosion paint system and 1-year technical support. Platinum Tier: covers full disassembly with bench-testing of hydraulic pump, main control valve and engine, brand-new electric harness, 3-primers + 2-topcoat + 1-clearcoat premium bake paint system, premium-brand wear parts only, and lifetime after-sales technical support.
3.2 Warranty Coverage. Warranty applies solely to defects originating from our remanufacturing workmanship or parts we supplied. It does not cover normal wear, misuse, overloading, accidents, lack of maintenance, unauthorized disassembly or force majeure events. Claim procedure: submit video evidence within 7 calendar days of issue discovery; we respond within 48 hours with replacement parts, on-line troubleshooting guidance or on-site arrangement for Platinum Tier clients.
3.3 Cancellation & Refund. Cancellations made before production begins (typically within 48 hours of deposit) are eligible for a 95% refund of the paid deposit (5% administrative fee retained). After production begins, deposits are non-refundable but can be credited toward a future order within 12 months. Once shipped, cancellations are not accepted; claims are handled exclusively under the applicable Warranty clause.
4. Liability Limitation & Dispute Resolution
4.1 Limitation of Liability. In no event shall Andes be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, production downtime or business interruption, arising out of or related to the equipment or services provided, even if advised of the possibility of such damages. Andes total aggregate liability under or in connection with any contract shall not exceed the total amount paid by you to Andes for that specific contract.
4.2 Governing Law. These Terms and all related contracts are governed by and construed in accordance with the laws of the People's Republic of China, excluding its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
4.3 Dispute Resolution. Any dispute, controversy or claim shall first be settled through good-faith negotiation between authorized senior representatives of both parties within 30 calendar days of written notice. If unresolved, the matter shall be submitted to arbitration administered by the Shanghai International Economic and Trade Arbitration Commission (SIETAC) in Shanghai, in the English language, and the arbitral award shall be final and binding.
